1. About these Terms
These Terms of Use govern access to and use of www.c4uag.com and its content. Until Capital 4U AG is incorporated, the website is operated by Richard Debrot for Capital 4U AG (in formation). In these Terms, “C4U”, “we”, “us” and “our” refer to that formation project and its operators and, after incorporation, to Capital 4U AG.
By using the website, you agree to these Terms. If you do not agree, do not use the website. These Terms apply only to the website; any mandate, service, investment, co-investment or transaction is governed exclusively by its separate definitive documentation.
2. Information only – no offer or advice
The website provides general information about C4U, its approach, areas of interest and team. Nothing on the website constitutes investment, legal, tax, accounting or other professional advice; a recommendation or personal suitability assessment; an offer or solicitation to buy, sell, subscribe for or hold a security, financial instrument, fund interest, participation or other investment; or an invitation to enter into a transaction in any jurisdiction.
The website is not a prospectus, key information document, offering memorandum or other regulated disclosure document. You should not make a decision or take action solely on the basis of website content. Obtain independent professional advice appropriate to your circumstances and jurisdiction.
3. No client, fiduciary or other relationship
Accessing the website, submitting the contact form or communicating with C4U does not create a client, advisory, fiduciary, agency, partnership or other contractual relationship and does not oblige C4U to review, accept, keep confidential, finance or pursue any proposal. A relationship arises only through a written agreement signed by the relevant parties.
Do not send confidential, price-sensitive, export-controlled or third-party restricted information through the public website unless C4U has expressly agreed in writing to receive it through an appropriate channel.
4. Own-capital and co-investment approach
C4U primarily invests capital belonging to the company and its shareholders and does not manage or custody client assets through this website. Any opportunity for another investor to participate alongside C4U will be subject to separate due diligence, eligibility requirements, risk disclosures and definitive legal documentation. No website statement assures that an opportunity will be offered, completed or profitable.
5. Regulatory status
C4U’s regulatory position and the boundaries of its activities are described in the Investment Disclaimer. Where a regulated service is required, the responsible provider and contractual structure will be identified in the applicable transaction or service documents. No authority or institution has approved or endorsed the website merely because it is referred to in website content.
6. Accuracy, availability and forward-looking information
We seek to keep website content clear and current, but information may be incomplete, unaudited, out of date or affected by technical error. We may revise these Terms to reflect changes in the website, our organisation, our activities or applicable law. The version published on the website applies from the “Last updated” date. Your continued use after publication of revised Terms constitutes acceptance of those revised Terms for future use of the website.
14. Severability and waiver
If a provision of these Terms is invalid or unenforceable, the remaining provisions remain effective. A failure or delay in exercising a right does not waive that right.
15. Governing law and jurisdiction
These Terms and any non-contractual dispute arising from use of the website are governed by the substantive laws of Switzerland, excluding its conflict-of-law rules. Subject to any mandatory statutory venue, the courts of the Canton of Zug, Switzerland, have exclusive jurisdiction.
